License Agreement#

This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single legal entity, "Licensee") and Jason Smart ("Licensor") for the software product identified as jvdluk/pro-vibration, which includes computer software and associated documentation ("Software").

By downloading, installing, copying, or otherwise using the Software, Licensee agrees to be bound by the terms of this Agreement. If Licensee does not agree to the terms of this Agreement, Licensee must not download, install, or use the Software.

1. Grant of License#

Subject to the terms of this Agreement and payment of the applicable license fee, Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to:

a) Install and use the Software in Licensee's own projects and applications, subject to the project limits of the license tier purchased.

b) Modify the source code of the Software for the sole purpose of customizing it for use within Licensee's permitted projects.

c) Use the Software in both development and production environments.

2. License Tiers#

The scope of this license is determined by the tier purchased:

Unlimited Project License: Permits use of the Software within an unlimited number of end products owned by Licensee or Licensee's clients.

An "end product" means a single application, website, or project where the Software is installed and used.

3. Restrictions#

Licensee shall NOT:

a) Redistribute, resell, sublicense, rent, lease, or lend the Software, in whole or in part, in its original or modified form, to any third party.

b) Make the Software available on any public repository, file-sharing service, package registry, or any other publicly accessible location.

c) Use the Software to create a competing product or service that is sold, licensed, or otherwise distributed to third parties.

d) Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.

e) Share license credentials, access tokens, or download links with any third party.

f) Use the Software in any product where the Software itself (or a substantial portion of it) is the primary value being offered.

4. Ownership#

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership rights to Licensee.

5. Updates and Support#

Licensor may, at its sole discretion, provide updates, bug fixes, or new versions of the Software. Access to updates and support may be subject to a separate subscription or time-limited period as specified at the time of purchase. Continued access to updates beyond any such period is not guaranteed.

6. Termination#

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Software and destroy all copies in their possession. Sections 3, 4, 7, and 8 shall survive termination.

7. Disclaimer of Warranty#

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability#

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.

9. Governing Law#

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

10. Entire Agreement#

This Agreement constitutes the entire agreement between the parties concerning the Software and supersedes all prior agreements and understandings, whether written or oral.
